Contributor Agreement

Effective Date: January 2025

This Contributor Agreement ("Agreement") is entered into between You ("Contributor") and Famousgg Foods Proprietrix Dhivya Kumar, operating under the brand name ERRAKAARAM™ ("Company").

By submitting content, recipes, reviews, photographs, videos, or any other materials ("Contributions") to the ERRAKAARAM platform, you agree to the following terms:

1. INTELLECTUAL PROPERTY ASSIGNMENT

1.1 Ownership Transfer

You hereby irrevocably assign, transfer, and convey to the Company all right, title, and interest in and to your Contributions, including but not limited to:

• Copyright and moral rights
• Trademark rights and brand associations
• Trade secret rights and proprietary information
• All derivative works and adaptations
• Commercial exploitation rights worldwide in perpetuity

1.2 License Grant

You grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your Contributions in any medium now known or hereafter developed.

2. BRAND PROTECTION AND NON-COMPETE

2.1 Trade Dress Protection

You acknowledge that ERRAKAARAM™ has developed distinctive trade dress elements including:

• Jar Design: Shape, size, color scheme, and labeling of product containers
• Packaging Design: Box design, wrapping materials, shipping presentation
• Visual Identity: Color palette (red chili aesthetics), typography, logo placement
• Product Presentation: Photography style, serving suggestions, lifestyle imagery

You agree not to create, manufacture, distribute, or sell any products that imitate or are confusingly similar to ERRAKAARAM's trade dress.

2.2 Non-Compete Clause

During the term of your contribution and for a period of 2 years thereafter, you agree not to:

• Create, manufacture, or sell chutney products that compete with ERRAKAARAM™
• Use recipes, formulations, or trade secrets learned through your association with ERRAKAARAM™
• Replicate the brand positioning, marketing strategy, or business model of ERRAKAARAM™
• Solicit customers or distributors of ERRAKAARAM™ for competing products
• Use social media influence or platforms built through ERRAKAARAM association to promote competing brands

2.3 Technology and Business Model Protection

You acknowledge that ERRAKAARAM™'s technology platform, including:

• E-commerce website architecture and user experience design
• Influencer collaboration systems and commission structures
• Customer data management and analytics systems
• Supply chain and inventory management processes
• Marketing automation and customer engagement strategies

constitute proprietary business methods and trade secrets. You agree not to replicate, reverse engineer, or use these systems for competing purposes.

3. CONFIDENTIALITY

3.1 Confidential Information

You agree to maintain strict confidentiality regarding:

• Product formulations, ingredient sourcing, and manufacturing processes
• Pricing strategies, profit margins, and supplier agreements
• Customer lists, sales data, and marketing performance metrics
• Business strategies, expansion plans, and partnership negotiations
• Financial information, projections, and investment details

3.2 Survival of Confidentiality

Your confidentiality obligations shall survive termination of this Agreement for a period of 5 years and shall remain in effect for trade secrets indefinitely or until such information becomes publicly available through no fault of yours.

4. REPRESENTATIONS AND WARRANTIES

By submitting Contributions, you represent and warrant that:

• You are the original creator of the Contributions or have obtained all necessary rights and permissions
• Your Contributions do not infringe upon any third-party intellectual property rights
• Your Contributions do not contain defamatory, obscene, or illegal content
• You have the legal capacity to enter into this Agreement
• All information provided is accurate and truthful

5. CONTENT MODERATION AND REMOVAL

The Company reserves the right to:

• Review, approve, reject, or remove any Contributions at its sole discretion
• Edit or modify Contributions for clarity, brevity, or brand consistency
• Use or not use your Contributions without providing reasons
• Remove Contributions that violate community guidelines or legal requirements

6. ATTRIBUTION AND CREDIT

While we strive to provide attribution where appropriate, you acknowledge that:

• The Company is not obligated to attribute Contributions to you by name
• Attribution may be removed or modified at the Company's discretion
• You waive any moral rights to attribution or integrity of your Contributions

7. COMPENSATION AND ROYALTIES

Unless otherwise agreed in a separate written agreement:

• Contributions are provided on a voluntary, unpaid basis
• No royalties, fees, or compensation are owed for use of your Contributions
• Influencer commissions are governed by separate influencer partnership agreements

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your breach of this Agreement
• Your violation of any third-party rights through your Contributions
• Your violation of applicable laws or regulations
• Any misrepresentation made by you

9. LIMITATION OF LIABILITY

The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform or submission of Contributions, even if advised of the possibility of such damages.

10. TERMINATION

This Agreement may be terminated by either party at any time with written notice. Upon termination:

• The Company retains all rights to previously submitted Contributions
• Your confidentiality and non-compete obligations remain in effect
• You must immediately cease using any ERRAKAARAM™ branded materials or trade secrets

11. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Gurgaon, Haryana.

12. AMENDMENTS

The Company reserves the right to modify this Agreement at any time. Continued submission of Contributions after amendments constitutes acceptance of the revised terms.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between you and the Company regarding Contributions and supersedes all prior or contemporaneous agreements.

By submitting Contributions to ERRAKAARAM™, you acknowledge that you have read, understood, and agree to be bound by this Contributor Agreement.
